Author Agreement

1. Introduction

Welcome to EverGuide.AI, Incorporated ("EverGuide.AI," "we," "us," or "our"). This Author Agreement ("Agreement") outlines the terms and conditions governing your participation as an author on our AI-driven educational platform. By creating and submitting content to EverGuide.AI, you agree to abide by this Agreement.

2. Definitions

• "Author" refers to you, the individual or entity creating and submitting educational content to EverGuide.AI.

• "Content" means all educational materials, including but not limited to course outlines, lesson plans, text, images, and any other materials you submit to EverGuide.AI.

• "Platform" refers to the EverGuide.AI website, mobile applications, and related services.

3. Content Creation and Ownership

3.1. As an Author, you are responsible for creating and submitting original Content to the Platform.

3.2. You retain ownership of your Content. However, by submitting Content to EverGuide.AI, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, and display your Content on the Platform.

3.3. You warrant that: a) You have the necessary rights, licenses, and permissions to submit your Content to EverGuide.AI. b) Your Content does not infringe upon any third-party intellectual property rights. c) You possess the qualifications and expertise necessary to create the Content you submit.

4. Content Guidelines

4.1. You agree not to submit Content that: a) Is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable. b) Infringes on any patent, trademark, trade secret, copyright, or other intellectual property rights. c) Violates any applicable laws or regulations. d) Contains financial, medical, or legal advice. e) Offers mental health therapy or counseling. f) Provides guidance on critical life decisions without appropriate disclaimers. g) Instructs on dangerous activities or illegal practices. h) Could be used to generate spam, malware, or other malicious content.

4.2. EverGuide.AI reserves the right to remove any Content that violates these guidelines or for any other reason at our sole discretion.

5. AI-Driven Content Delivery

5.1. You understand and agree that your Content will be delivered to users through EverGuide.AI's artificial intelligence system.

5.2. EverGuide.AI may modify your Content as necessary to ensure compatibility with our AI delivery system.

6. Compensation

6.1. EverGuide.AI operates on a subscription model. We will establish an Authors' Pool equivalent to 25% of our Net Subscription Revenue each month.

6.2. Your share of the Authors' Pool will be calculated based on user engagement with your Content relative to overall Platform engagement.

6.3. Payments will be made in U.S. dollars within 45 days of the end of each month.

6.4. You are responsible for providing accurate payment information and any necessary tax documentation.

6.5. In the event of user refunds, the corresponding amount will be deducted from the Authors' Pool before individual shares are calculated.

6.6. EverGuide.AI reserves the right to change the compensation structure, including the percentage allocated to the Authors' Pool, with 30 days notice to authors.

6.7. Authors are responsible for all taxes on their income from EverGuide.AI.

7. Termination and Content Removal

7.1. You may request to terminate your Author account at any time by contacting our support team.

7.2. Upon termination request: a) Your account will be deactivated immediately. b) Your Content will remain on the Platform for 60 days, marked as "Soon to be removed." c) After 60 days, your Content will be permanently removed from the Platform.

7.3. EverGuide.AI reserves the right to terminate your account or remove your Content at any time for violations of this Agreement or for any other reason at our discretion.

7.4. Certain sections of this Agreement, including Sections 3 (Content Creation and Ownership), 8 (Intellectual Property), 9 (Privacy and Data Protection), and 11 (Governing Law and Dispute Resolution), shall survive the termination of this Agreement.

7.5. During the 60-day period following termination request, you will continue to accrue earnings based on engagement with your Content.

8. Intellectual Property

8.1. EverGuide.AI's trademarks, logos, and brand elements are our exclusive property. You may only use them with our explicit permission and in accordance with our brand guidelines.

8.2. You agree not to use our intellectual property in any way that suggests endorsement or affiliation without our express consent.

8.3. Content Protection: EverGuide.AI will make reasonable efforts to protect your Content from unauthorized use. You authorize EverGuide.AI to act on your behalf to protect your copyright interests, including issuing takedown notices under applicable copyright laws.

8.4. You grant EverGuide.AI permission to use your name and professional background in connection with the promotion and marketing of your Content on the Platform.

9. Privacy and Data Protection

9.1. You agree to comply with all applicable data protection laws and our Privacy Policy when handling any user data you may access through the Platform.

9.2. You will not collect, store, or use user data for any purpose other than providing your services on the Platform.

9.3. Authors do not have a direct contractual relationship with users. All user interactions and data access must occur through the Platform.

9.4. EverGuide.AI will handle all user data in accordance with our Privacy Policy, which you agree to review and comply with.

10. Modifications to this Agreement

10.1. EverGuide.AI may modify this Agreement at any time. We will notify you of significant changes via email or through the Platform.

10.2. Your continued use of the Platform after such modifications constitutes acceptance of the updated Agreement.

11. Governing Law and Dispute Resolution

11.1. This Agreement is governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles.

11.2. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, United States.

11.3. Before pursuing formal legal action, both parties agree to attempt to resolve any disputes through good-faith negotiations for a period of not less than 30 days.

11.4. Language: This Agreement is written in English. If a translated version conflicts with the English version, the English version controls.

11.5. Class Action Waiver: You agree to resolve any disputes on an individual basis and waive any right to pursue any claims on a class or consolidated basis.

12. Indemnification

12.1. You agree to indemnify and hold EverGuide.AI harmless from any claims, damages, or expenses arising from your violation of this Agreement or any third-party rights.

13. Limitation of Liability

13.1. EverGuide.AI's liability under this Agreement is limited to the amount paid to you in the 12 months preceding any claim.
